Welcome to Stoic Bookkeeper LLC. By accessing or using our website or services, you agree to comply with and be bound by these Terms of Service. These terms, along with our Privacy Policy, govern your relationship with Stoic Bookkeeper LLC.

1. Scope of Services
Stoic Bookkeeper LLC provides professional bookkeeping and financial management support services, including:

• General bookkeeping
• Financial reporting (non-certified)
• Payroll processing
• Accounts payable and receivable management
• Bank and credit card reconciliations
• Crypto bookkeeping services
• Tax preparation assistance
• Audit readiness support

Subcontracting and Third-Party Involvement:
The Service Provider may, from time to time, engage qualified subcontractors or third-party service providers to assist with the delivery of services. All subcontractors are subject to confidentiality agreements. Any fees associated with third-party service providers are subject to prior written approval by the Client. Service Provider is not liable for the acts or omissions of any third party.

Important Note: We are not licensed CPAs or tax professionals. We do not provide certified financial statements, audits, reviews, or any other services requiring CPA certification under California law.

2. Client Responsibilities
Clients are responsible for:

• To provide all necessary financial records, receipts, and other supporting documentation required for the accurate and timely completion of the services outlined in this engagement letter. This includes, but is not limited to, bank statements, credit card statements, invoices, contracts, and any other relevant financial data.
• To respond to requests for information or clarification from Stoic Bookkeeper LLC within 3 business days of the request. Delays in providing requested information may impact the timeliness and accuracy of the services provided.
• To maintain adequate records and documentation to support all financial transactions and to comply with all applicable laws and regulations. Stoic Bookkeeper LLC is not responsible for any penalties, interest, or other liabilities arising from the client's failure to maintain adequate records.
• To promptly notify Stoic Bookkeeper LLC of any changes to their business structure, financial situation, or other relevant information that may impact the services provided. Such changes include, but are not limited to, changes in ownership, changes in accounting methods, or the commencement of new business activities.
• Client acknowledges that the cost of their accounting technology stack, including but not limited to subscriptions to accounting software, payment processing platforms, and other related services, is the sole responsibility of the client, unless otherwise expressly agreed upon in writing in this Service Agreement.
• Client acknowledges their responsibility to back up their cloud-based accounting stack.

3. Intellectual Property
All content on this website is the property of Stoic Bookkeeper LLC or its content suppliers and is protected by U.S. copyright laws.

4. Limitations of Liability
To the fullest extent permitted by law, Stoic Bookkeeper LLC is not liable for indirect, incidental, special, consequential, or punitive damages arising from the use of our services.

5. Payment Terms
Payment for services is due as outlined in your service agreement. We offer recurring billing cycles, typically monthly, but can customize based on client preference.

6. Termination Policy
Either party may terminate the service agreement with 30 days written notice. Clients must settle any outstanding balances before termination.

7. Governing Law
These Terms of Service are governed by the laws of the State of California.

To the fullest extent permitted by law, the Service Provider's liability to the Client for any claims, losses, damages, or expenses arising out of or related to the services provided under this agreement, regardless of the cause of action, shall be limited to the amount of fees paid by the Client to the Service Provider from the preceding month of service giving rise to the liability.
